Amirra Terms of Use (Generic End User Agreement)
 
1. Acceptance of Terms
By accessing or using this web application or any associated services (collectively, the "Services"), you agree to comply with and be legally bound by these Terms of Use (“Terms”) in full. If you do not agree to these Terms, you must not access or use the Services.

The Services are operated and provided by OfficeAccord LLC, with the product known as Amirra, on behalf of Wake Forest Founders  (referred to here as “the Organization”).

 
2. Modifications
We may modify these Terms from time to time. Any changes will be effective when posted. Your continued use of the Services following the posting of revised Terms constitutes your acceptance of such changes. Please review the Terms regularly.

 
3. Eligibility
You must be at least 18 years of age to use the Services. By using the Services, you represent and warrant that you meet this age requirement.

 
4. User Conduct – What You Must Do
You agree to:

  • Comply with these Terms and all applicable laws and regulations;
  • Protect your login credentials and prevent unauthorized access;
  • Only upload, share, or post content you have the legal right to share;
  • Use commercially reasonable efforts to prevent unauthorized use of your account;
  • Promptly report any unauthorized access, security breach, or misuse of your account;
  • Treat other users, including fellow employees and members, with respect;
  • Comply with all third-party application terms integrated with the Services.

 
5. User Conduct – What You May Not Do
You may not:

  • Share or transfer your user account to another person;
  • Permit non-authorized users to access the Services;
  • Use the Services to store or share illegal, offensive, or infringing content;
  • Upload malware, viruses, or other harmful software;
  • Reverse engineer, copy, or modify the Services;
  • Attempt unauthorized access to systems or data;
  • Use the Services to promote any political campaigns, solicitations, or commercial ads;
  • Collect or use information from other users outside the platform without consent;
  • Violate any applicable data privacy, copyright, or export laws;
  • Impersonate others or misrepresent your affiliation;
  • Use the Services in a way that violates any harassment, discrimination, or workplace policy set by the Organization.

The Services are intended solely for authorized employees, students, or members of the Organization and are not intended for consumer or personal use.

 
6. Privacy and Data Protection

The Organization acts as the Data Controller, and OfficeAccord LLC acts as the Data Processor. 9. Disclaimers
The Services are provided “as is” and “as available” without any warranties of any kind. To the fullest extent permitted by law, OfficeAccord LLC and the Organization disclaim all warranties, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

 
10. Limitation of Liability
To the fullest extent permitted by law, neither OfficeAccord LLC nor the Organization shall be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of the Services.

 
11. Indemnification
You agree to indemnify and hold harmless OfficeAccord LLC, the Organization, and their officers, employees, and agents from any claims, liabilities, damages, losses, or expenses, including attorney’s fees, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

 
12. Governing Law and Jurisdiction
These Terms are governed by the laws of Oregon, United States without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in [Insert Court Location].
